Terms of Service

1. Parties to the Contract

These Terms govern access to and use of the Zain service (the "Service"), provided by Zain RMS ("we", "the Provider"), by the restaurant or business that contracts the Service ("the Client").

2. Description of the Service

Zain is an artificial intelligence agent that automates bookings, answers enquiries and manages communications with guests via WhatsApp and other channels, for restaurants and hospitality businesses. The Service includes access to the control panel, the conversational bot and the available integrations.

3. Access and Account

  • Beta access is limited to the restaurants selected during the founder period.
  • The Client is responsible for maintaining the confidentiality of their access credentials.
  • Assigning, reselling or sharing access to the Service with unauthorised third parties is prohibited.

4. Pricing and Billing

The prices in effect are those shown on the pricing page at the time of contracting. Payment processing is handled by Paddle, our Merchant of Record, which acts as the legal seller of the Service. The legal invoice is issued by Paddle on behalf of Zain RMS.

  • Monthly Pioneer Plan: recurring monthly billing. Cancellable at any time from the dashboard or by email.
  • Lifetime Pioneer: one-off payment, lifetime access to the plan's features.

5. Refund Policy

We offer a 30-day money-back guarantee from the date of your first subscription. If you're not satisfied for any reason, write to us at info@zainagent.com and we will process a full refund, no questions asked.

Refund requests made after the 30-day period are assessed on a case-by-case basis.

6. Acceptable Use

The Client agrees to:

  • Use the Service solely for the legitimate management of their hospitality business.
  • Not use the Service to send spam, or misleading or unlawful communications.
  • Comply with the usage policies of WhatsApp Business and any other connected platforms.
  • Not attempt to access other clients' systems, accounts or data.
  • Obtain appropriate consent from their own guests before contacting them through the bot.

7. Intellectual Property

Zain RMS holds all intellectual property rights over the Service, the software, the design and the Zain brand. The Client does not acquire any rights over these elements.

The Client retains ownership of their restaurant's data and their guests' data, and grants us a limited licence to process it solely for the purpose of providing the Service.

8. Availability and SLA

During the beta period, the Service is provided on a "best effort" basis. We strive to maintain availability above 99%, although we do not guarantee a formal SLA during the beta phase. We will notify planned interruptions with reasonable advance notice.

9. Limitation of Liability

To the maximum extent permitted by law, Zain RMS shall not be liable for indirect, incidental or consequential damages arising from the use or inability to use the Service. Our total liability shall not exceed the amount paid by the Client in the preceding 12 months.

10. Changes to the Service

We may modify or discontinue features of the Service with 30 days' notice. Substantial changes to the price or terms of contracted plans will be notified 30 days in advance; the Client may cancel without penalty if they do not accept the changes.

11. Termination

The monthly plan has no minimum term: the Client may cancel it at any time from the control panel, and the Service remains active until the end of the period already paid for. The annual plan requires 30 days' notice before the renewal date, as it carries a discount tied to a 12-month commitment.

For our part, we may terminate the contract with 30 days' notice. We may suspend access immediately in the event of fraudulent or abusive use, or use contrary to these Terms. After termination, the Client's data is retained for 90 days before being deleted.

12. Governing Law and Jurisdiction

These terms are governed by French law. For any dispute, the parties submit to the courts of Bayonne, expressly waiving any other jurisdiction.
